Lehigh Valley Health Network adds Schuylkill Health System

Transaction Announcement
Ponder & Co. is pleased to announce that Schuylkill Health System (“SHS”) has become part of Lehigh Valley Health Network (“LVHN”). As a result of the merger, the residents of Schuylkill County will have access to expanded healthcare services, advanced technologies, and more medical specialists.

Schuylkill Health System
Founded in 2008 through the merger of Good Samaritan Regional Medical Center and The Pottsville Hospital and Warne Clinic both located in Pottsville, PA, the system includes two general acute care hospitals licensed for a combined 305 licensed beds, employing 1,300 employees. SHS’s total operating revenue was $140 million for the fiscal year ended June 30, 2015.

Lehigh Valley Health Network
LVHN based in Allentown, PA, consists of five campuses and is the largest provider of healthcare services in the Lehigh Valley. With 981 licensed-acute beds, LVHN provides care to more than 50,000 inpatients, 119,000 ER visits, and more than 450,000 outpatients annually, through a range of access points including urgent care centers, community clinics, health centers, and physician locations.

Ponder’s Role
In a collaborative partnership with The Advisory Board Company, Ponder’s M&A Group advised SHS on the transaction and negotiated the terms and conditions of the affiliation agreement. As a result of the agreement, LVHN is committed to building the SHS medical staff, implementing an electronic medical record that integrates with LVHN and investing needed capital.
